By using this Web site you agree to comply with and to be bound by the following terms and conditions. Please review the following terms carefully. If you do not agree to these terms, you have no right to obtain information from Stimul-Cash.com or otherwise use this Web site. Failure to use this Web site in accordance with the following terms and conditions may subject you to severe civil and criminal penalties.

Joining Stimul-Cash.com

Your participation in the Program is solely for the following purpose: to advertise our Web sites and to receive a commission on products and services purchased by individuals referred to Stimul-Cash.coms Web sites, or your own Web sites composed of Stimul-cash.coms Templates.

Commissions

The level of commission you will earn depends on the prices you set for each individual product. You will see the individual product commission level when you visit Your Shops -> Price Editor section of your Affiliate Account. We reserve the right to change commission levels without prior notice. You must keep up to date with any changes to commission levels by visiting the above mentioned section of your Affiliate Account regularly.

We will deduct a percentage of the total sum of all refunds and chargebacks from your accumulated commissions in case such a transaction is requested by a Customer referred by you.

If you refer another affiliate to Stimul-Cash.com through the appropriate Website links (or by contacting one of our Affiliate Support Representatives) you will be entitled to 10% of the total sum of all the commission due to that affiliate. You cannot refer yourself however.

Commission earned will be paid weekly - every Thursday. Stimul-Cash.com promises to pay affiliates all amounts due for the week within seven business days following the close of the week (Wednesday). The transaction will be displayed inn the Payment History section of your Affiliate Account together with a statement showing a breakdown of the payment. Webmaster balances with less than $50 outstanding will be withheld until such time as the balance exceeds $50 at the end of a payment period. You may choose to change the minimal balance to a higher amount, in which case everything lower than the selected balance amount will be withheld.

Note: New accounts must have at least $100 of accumulated commission before the first payment is made.

No Spam Policy

Spam is defined as any unsolicited email whether commercial or non-commercial in nature. Spam includes, but is not limited to, email spam, fax spam and unsolicited direct phone calls. All affiliates are expected to adhere to Stimul-Cash.coms no spam policy. If you run a newsletter, e-zine, or any other kind of bulk email service you must have evidence that people expressly opted in to receive email from you. Any and all spam complaints will be investigated thoroughly. Any Affiliate that engages in spam or in promoting prohibited products or services in connection with their Affiliate Account with Stimul-Cash.com by any means will have their affiliate account terminated, and may lose entitlement to any or all affiliate commissions due to them. The site owner will be held liable for any and all damages and/or losses that may result as a consequence.

Copyright

The content, organization, graphics, design, compilation, program source codes and other matters related to the Web site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such material or any part of the Web site, except as allowed under "Limited Right to Use" below, is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Web site. The posting by Stimul-Cash.com of information or materials on the Site does not constitute a waiver of any right in such information and materials. Limited Right to Use

Our Web site grants you a non-exclusive limited license to use the Web Templates in accordance with these Terms and Conditions (the "license") issued by our company.

1. MODIFICATIONS

   You are authorized to modify the Web templates to suit your own purposes so long as any such modification does not damage (either directly or accidentally) or interrupt the services of the Web site. This includes any components of the site, and any property of other affiliates of Stimul-Cash.com.

2. UNAUTHORIZED USE

   You may not place any of our products, modified or unmodified, on a diskette, CD, web site or any other medium and offer them for redistribution or resale of any kind without prior written consent from us.

3. ASSIGNABILITY

   You may not sub-license, assign or transfer this license to anyone else without prior written consent from us. Your permission to use the Web site is not transferable. Any password or right given to you to in order to procure information or products from the Web site is not transferable.

4. LIMITATION

   Only 1 Affiliate Account per person is allowed.

Third Parties

Stimul-Cash.com may from time to time use third parties to provide certain services accessible via the Web site. Stimul-Cash.com has no control over these third parties or their services. You agree that our company will not be held in any way liable for your use of such services. These third parties may have their own terms of use and other security policies. You must comply with such terms and policies as well as our terms of service (TOS) when you use these services. If any third party terms or policies conflict with those of Stimul-Cash.com you must comply with those specified in this document.

Termination of Affiliate Account

Your Affiliate Account in the Program may be suspended or terminated for any of the following reasons:

• Inappropriate advertisements (false claims, misleading hyperlinks, etc.)
• Spamming (mass email, mass newsgroup posting, etc.)
• Advertising on sites containing or promoting illegal activities
• Violation of the Limited Right to Use license
• Your expressed desire to terminate your Affiliate Account.

Stimul-Cash.com reserves the right to terminate any Affiliate Account at any time, for any reason.

Your Indemnity

You shall indemnify, defend and hold Stimul-Cash.com, its Affiliates and each of the officers, directors, employees, agents and representatives of Stimul-Cash.com and its Affiliates harmless from any and all Losses incurred or suffered by such Stimul-Cash.com Indemnities arising out of, or in connection with, any third party Claim based upon or arising out of :(i) any breach of this Agreement by you; (ii) your gross negligence or willful misconduct; (iii) the development, operation, maintenance and content of your site(s) (excluding any Stimul-Cash.com Property displayed thereon); or (iv) infringement or other violation by your site or your other Property of a third partys privacy rights, publicity rights or other proprietary rights. Your obligations hereunder shall be subject to Stimul-Cash.com (a) promptly notifying you of a Claim or threatened Claim covered by such indemnification; (b) tendering sole control of the defense and settlement of such Claim to you (provided that you shall not enter into any settlement agreement that adversely affects Stimul-Cash.com without Stimul-Cash.coms prior written consent); and (c) co-operating with such defense and/or settlement at your expense.

Disclaimer

Stimul-Cash.com will not be liable for any indirect or accidental damages for example loss of revenue or commissions due to affiliate tracking failures, loss of database files or any results of "intents of harm" to the Web site(s). We do not make any expressed or implied warranties with respect to the Affiliate Program and/or the products or services sold by Stimul-Cash.coms affiliated Web sites. We make no claim that the operation of the Affiliate Program and/or our Web site(s) will be error-free and we will not be liable for any interruptions or errors on the site
